Limitation of Liability and Terms of Use

Informational English translation. In case of conflict, contradiction, or interpretative difficulty, the Italian version prevails exclusively (see §10).
These terms govern the purchase and use of Community Pricing Pro (“the Plugin”) supplied by MMC Plugins (Martini Maria Cristina) (“the Producer” or “the Seller”).
By purchasing the Plugin, renewing the licence, buying add-ons, or activating it, the Buyer declares that they have read, understood, and fully accepted the following.
1. Intended users and nature of the relationship
The Plugin is intended exclusively for professional operators who run a WooCommerce store (merchants, companies, professionals). Purchase is limited to parties acting in the course of a business, trade, craft, or profession — not consumers under Legislative Decree 206/2005 (Italian Consumer Code). To that end, the Seller requires a company/trade name and a business tax identifier — VAT number for buyers established in the European Union; VAT number, Tax ID, or equivalent business tax ID for buyers outside the EU — as a condition to complete the order, together with the explicit declaration under point 12 (checkbox 3).
The Buyer is responsible for the truthfulness and accuracy of the tax data and the professional-status declaration provided at purchase. If such data prove false, inaccurate, incomplete, or refer to someone other than the actual buyer, the Seller may refuse the order, suspend performance of the contract, and/or terminate the related licence by operation of law under art. 1456 of the Italian Civil Code (express termination clause), and revoke access to updates and support, without creating any refund right for the Buyer, except where mandatory law or the Refund Policy published on the site expressly provides otherwise. Such termination results solely in the end of the subscription and of access to hub services, according to the definition of “licence” in this point, and does not affect the rights of use, copy, modification, and redistribution of the code under the GPL. In any event, the Buyer shall indemnify and hold the Producer harmless from any claim, sanction, or consequence — including tax or consumer-related — arising from such false declaration, without prejudice to the law on pre-contractual liability (art. 1337 of the Italian Civil Code) and fraud (arts. 1439 and 1440).
Definition of “licence”. For the purposes of these terms, “licence” means a fixed-term subscription that entitles the Buyer to updates, technical support, and access to certain Plugin features for the period and according to the plan indicated at purchase (e.g. number of production sites that may be activated). The Plugin code is distributed under the GNU General Public License (GPL), which permits use, copying, modification, and redistribution independently of this subscription; the “licence” referred to in these terms does not affect those rights and regulates only the provision of updates, support, and features reserved to active plans, as set out in point 7.
2. Nature of the tool
The Plugin is software that automates pricing, promotions, discounts, and referral commissions inside a WooCommerce store. It does not provide tax, accounting, legal, or commercial advice. Pricing, margins, promotions, third-party rewards (referral/affiliates), and related tax, civil, or regulatory duties remain solely the Buyer’s responsibility.
3. No guarantee of results
Except for mandatory rights and point 8, the Plugin is provided “as is”, without guarantee of results. In particular — to the maximum extent permitted by law and except for willful misconduct or gross negligence of the Producer — there is no warranty of fitness for a particular purpose, freedom from errors, uninterrupted operation, or compatibility with configurations, themes, third-party plugins, customizations, or future versions of WordPress, WooCommerce, or PHP not expressly listed as supported.
4. Exclusion and limitation of liability
To the maximum extent permitted by applicable law, and except for willful misconduct or gross negligence of the Producer (art. 1229 of the Italian Civil Code) and any liability that cannot be excluded or limited by law, the Producer MMC Plugins (Martini Maria Cristina) is not liable for:
- direct or indirect economic loss, loss of profit, loss of business opportunity, loss of data, or business interruption
- pricing, discount, or referral-commission calculation errors or any other economic logic generated or influenced by the Plugin
- conflicts with other plugins, themes, customizations, or code changes not made by the Producer
- consequences of misconfiguration, misuse, missed updates, lack of staging tests, or missing backups by the Buyer
- tax, regulatory, or contractual breaches arising from price/commission features (including VAT, referral payouts, and duties to third parties), which remain the Buyer’s responsibility.
5. Buyer obligations
It is the Buyer’s responsibility, by way of example, to:
- test the Plugin in a staging environment before production use
- maintain regular site and database backups
- verify prices, discounts, and commissions before exposing them to end customers or partners
- ensure promotional campaigns and the referral program comply with tax and commercial rules in the Buyer’s jurisdiction.
6. Liability cap
Where Producer liability cannot be excluded, it is — except for willful misconduct or gross negligence and subject to mandatory limits of law — limited to the total amount paid by the Buyer to the Producer under any title (updates-and-support licence, add-ons, related services) in the twelve (12) months preceding the harmful event.
7. Support, updates, and licence-tied features
The Producer makes available technical documentation (user guide) for the Plugin, covering installation, configuration, and use of available features.
Technical support included with the licence is limited to reporting and resolving defects or Plugin behaviour that does not match official documentation, the changelog, or published functional specifications. Support is provided through the Producer’s ticket system.
Included support does not cover, by way of example:
- requests to configure, set up, or customize features already described in the documentation
- training on how to use the Plugin
- advice on pricing, promotion, or referral strategies
- custom code, or integrations with themes or third-party plugins not expressly supported.
The Producer may, at its discretion and without creating a contractual duty or a binding precedent, give courtesy guidance on matters outside that scope (e.g. small clarifications on documented settings). Such availability creates no right to receive it again, and failure to answer or to answer fully on out-of-scope requests is not a breach.
Where the Producer chooses not to handle such requests as courtesy, they may be offered as paid add-on services, if and when the Producer so offers.
Updates are provided according to the purchased licence terms and the refund policy published on the site. When the licence expires without renewal, the Producer may suspend updates, technical support, and/or specific Plugin features reserved to plans with an active licence, as stated in the product documentation. The Plugin will nevertheless continue to operate the base (core) features that are expressly identified as such in the official documentation then in force, unless that documentation states otherwise. Support, updates, and availability of licence-tied features do not guarantee resolution of every issue, nor permanent compatibility with future versions of WordPress, WooCommerce, PHP, or third-party software.
8. Severability
If one or more provisions of these terms are void, voidable, or ineffective, the remainder stays in force. Exclusions and limitations of liability are interpreted and applied to the maximum extent allowed by law; nothing in this document limits the Producer’s liability where Italian or European Union law forbids exclusion or limitation.
9. Governing law and venue
These terms are governed by Italian law. For disputes arising from or connected with the purchase or use of the Plugin, exclusive venue is the court of the place where the Producer has its seat, unless mandatory law provides otherwise.
9-bis. Specific approval under arts. 1341–1342 of the Italian Civil Code
For the purposes of arts. 1341(2) and 1342 of the Italian Civil Code, the Buyer declares that they have carefully read and specifically approve, as onerous clauses, the following:
- point 1, second paragraph (data truthfulness; order refusal, suspension, and termination of the licence by operation of law under art. 1456; exclusion of refund; indemnity for false declaration)
- point 4 (Exclusion and limitation of liability)
- point 6 (Liability cap)
- point 7, last paragraph (suspension of updates, support, and features on licence expiry)
- point 9 (Governing law and venue).
The binding wording of these clauses is that of the Italian document.
10. Language of reference
These terms are drafted in Italian. Any translation into other languages, where provided, is for information only: in case of discrepancy, contradiction, or interpretative difficulty, the Italian version prevails exclusively.
11. Acceptance on every order
Acceptance of these terms — including general approval (point 12, checkbox 1), specific approval of onerous clauses (point 9-bis, checkbox 2), and the professional-status declaration (checkbox 3) — is required for each order, including initial purchase, licence renewal, upgrade, or purchase of add-ons. Licence renewal is not automatic: it requires an explicit manual action by the Buyer from the site account area, at which time a new acceptance of these terms is required, in the version in force at the time of renewal. If a new version of these terms is published, a new acceptance is still required before any renewal or subsequent order.
12. Acceptance
The Buyer accepts these terms by ticking the mandatory unchecked boxes at purchase, for each order. Acceptance is required to complete the order.
The three checkout declarations (unchecked by default) are enforced on the Italian wording; the English labels on the EN checkout are informative. See the Italian page for the authoritative checkbox text.
